TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFERMATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify, defend, and hold harmless Refermate, its affiliates, and their respective employees, officers, and directors from any claims, liabilities, costs and expenses, including reasonable attorneys' fees, arising from your use of the Platform, violation of these Terms, or infringement of any rights of another party.
Any dispute arising out of or relating to these Terms or your use of the Platform will be settled by binding arbitration, except that each party retains the right to seek injunctive relief for intellectual property violations.
You agree that any claims will be brought in your individual capacity only, and not as a plaintiff or class member in any class action or representative proceeding.
You may opt out of arbitration by notifying us in writing within 30 days of first using the Services at help@refermate.com.
We may terminate or suspend your Account at any time, with or without cause or notice. Upon termination, we will remit any confirmed cashback earnings owed to you. You may cancel your Account at any time by contacting us.
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.
These Terms constitute the entire agreement between you and Refermate regarding the Services and supersede all prior agreements and understandings.
